The statute states that annual and regular meetings are held at the place indicated in the bylaws. If no location is stated in the bylaws, the meeting is held and the corporation’s principal office.
The Condominium Ownership Act governs condominiums created in the state. The statute defines the ownership of units within a condominium property. In addition, it defines common elements and addresses tax issues. The statutes do not refer to annual meetings, quorums, voting rights, or proxies.
The Nonprofit Corporation Act nor the Condominium Ownership Act addresses remote meetings for members.
However, §17-19-820 of the Nonprofit Corporation Act states that the board of directors may conduct meetings through the use of any means of communication that allows directors to communicate with each other during the meeting. Directors who participate in the meeting remotely are considered present in person for the meeting.
Boards of directors can seek legal counsel to determine if their bylaws and state law permit members to attend meetings remotely.
